Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Stem Sales Training ("Stem," "we," "us," or "our"), a Pala company, governing your access to and use of our website, sales training, coaching, team programs, content, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements and that any information you provide is accurate and current.

2. The Services

Stem provides sales training, mindset coaching, word-track development, objection-handling instruction, team programs, and one-on-one coaching, delivered through various formats that may include live sessions, recorded content, written materials, and digital resources. We may modify, suspend, or discontinue any part of the Services at any time.

3. Registration and Accounts

Some Services require you to provide information or create an account. You agree to provide accurate information, keep it up to date, and maintain the confidentiality of any credentials. You are responsible for all activity that occurs under your account and must notify us promptly of any unauthorized use.

4. Fees, Payment, and Renewals

• Fees for paid Services are described at the point of purchase and are due according to the stated terms.
• All fees are quoted exclusive of taxes unless stated otherwise; you are responsible for applicable taxes.
• Payments are processed by third-party payment providers, and you agree to their terms.
• Subscription or recurring services renew automatically unless cancelled before the renewal date, where applicable.
• Unless required by law or expressly stated, fees are non-refundable. Any refund or cancellation policy specific to a program will be provided at purchase.

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful, fraudulent, or harmful purpose.
• Copy, record, resell, redistribute, or sublicense our content or materials without written permission.
• Reverse engineer, scrape, or attempt to gain unauthorized access to the Services or related systems.
• Interfere with or disrupt the integrity or performance of the Services.
• Impersonate any person or misrepresent your affiliation with any person or entity.
• Upload or transmit malicious code, or harass, abuse, or harm another person.

6. Intellectual Property

All content, materials, methodologies, word tracks, frameworks, trademarks, logos, and other intellectual property made available through the Services are owned by or licensed to Stem and are protected by applicable laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and content for your own personal or internal business use. No other rights are granted.

7. Your Content and Feedback

You retain ownership of content you submit. By submitting content or feedback, you grant Stem a worldwide, royalty-free license to use, reproduce, and display it as necessary to provide and improve the Services. You represent that you have the rights to submit such content and that it does not violate any law or third-party rights.

8. No Guarantee of Results; Disclaimers

Our training is designed to develop skills, but individual results vary and depend on many factors outside our control, including your effort, market conditions, and execution. We make no guarantee of any specific sales, income, or business outcome.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STEM AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Stem and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

11. Third-Party Services and Links

The Services may contain links to or integrations with third-party websites and services that we do not control. We are not responsible for the content, policies, or practices of any third party, and your use of them is at your own risk.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms or for any other reason at our discretion. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination will continue to apply.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which Stem is established, without regard to conflict-of-law principles. You agree to first attempt to resolve any dispute informally by contacting us. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts located in that jurisdiction, unless otherwise required by applicable law.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

15. Miscellaneous

These Terms, together with any policies referenced here, constitute the entire agreement between you and Stem regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them freely.
